Qualifications & Skills
- Juris Doctor (JD) from an accredited law school
- 5+ years of experience in Corporate Law
- Proven experience handling M&A transactions, private equity, venture capital, corporate finance, and securities transactions
- Demonstrated ability to independently lead complex transactions, including drafting and negotiating key agreements
- Experience advising emerging growth companies and established businesses
- Outstanding written, verbal, negotiation, and analytical skills
- Strong organizational and project management abilities
- Ability to work both independently and collaboratively in a fast-paced legal environment
Key Job Functions
- Lead and manage complex corporate transactions, including mergers and acquisitions (M&A), private equity investments, venture capital financings, and debt and equity financings
- Advise clients on corporate governance, business formation, emerging growth companies, and ongoing corporate matters
- Draft, review, and negotiate sophisticated transaction documents and commercial agreements
- Serve as the lead attorney on transactions from initial structuring through closing
- Counsel clients on securities offerings, financing strategies, and corporate compliance matters
- Collaborate with attorneys across multiple practice areas to deliver strategic legal solutions
- Mentor and support the development of junior attorneys
- Deliver exceptional client service while building strong, long-term client relationships
