About the Opportunity
A technology organization is seeking a Temporary Corporate Counsel to join its legal function and take ownership of the company’s day-to-day commercial legal workload. This is an excellent opportunity for an attorney with strong SaaS contracting experience, sound business judgment, and the ability to operate independently in a fast-paced, regulated technology environment.
Qualifications & Skills
- Juris Doctor (JD) from an ABA-accredited law school
- Admission and good standing to practice law in at least one U.S. state; Massachusetts bar admission preferred
- 3+ years of legal experience, ideally combining law firm and in-house experience
- Demonstrated experience drafting, reviewing, and negotiating commercial contracts, particularly SaaS agreements, customer agreements, NDAs, SOWs, partner/reseller agreements, and vendor contracts
- Experience working within the SaaS, technology, or regulated technology industry; experience in financial services, healthcare, identity/biometrics, or a similar regulated environment is highly valued
- Familiarity with data privacy and protection regulations, including GDPR, LGPD, CCPA/CPRA, BIPA, or other biometric privacy laws
- Ability to work independently, prioritize competing demands, and manage a high-volume legal workload without daily supervision
- Strong business judgment and the ability to translate legal considerations into practical business recommendations
- Demonstrated ability to work directly with cross-functional stakeholders, including Revenue, Product, Engineering, IT, Finance, Compliance, and HR
- Strong written and verbal communication skills
- Excellent organizational skills and attention to detail
- High level of professional integrity and ethical judgment
- Curiosity and willingness to learn the organization’s technology, products, and regulatory environment
Key Job Functions
Commercial Contracting
- Draft, review, and negotiate SaaS agreements, customer contracts, NDAs, SOWs, partner/reseller agreements, and vendor contracts.
- Serve as a trusted legal partner to Revenue and other business teams, providing practical guidance and supporting negotiations.
- Manage contract workflows, approvals, and execution while balancing legal risk and business priorities.
Privacy & Compliance
- Support data privacy and regulatory compliance initiatives, including GDPR, CCPA/CPRA, BIPA, and other applicable privacy laws.
- Advise cross-functional teams on privacy, security, and regulatory considerations related to products, data, and business operations.
Corporate & Business Advisory
- Support corporate governance, SEC compliance, entity management, and board-related matters.
- Provide legal guidance to Finance, HR, Product, IT, and other business functions on a range of corporate and operational matters.
Legal Operations
- Coordinate with outside counsel on specialized matters and manage related communications and expenditures.
- Support intellectual property, employment, marketing, litigation, and other general legal matters as needed.
