Salary Range: $75K-$100K | Bonus Eligible | Non-Exempt
Schedule: Full-time | Monday-Friday, 8-4 or 9-5 
Billing Requirement: 1,000 hours annually

A respected Connecticut-based law firm is seeking an experienced Corporate Paralegal to join its growing Corporate Law department. This is an excellent opportunity for a detail-oriented legal professional seeking to work on sophisticated business transactions in a collaborative, client-focused environment that serves industries including manufacturing, healthcare, technology, telecommunications, consulting, and professional services. 

Qualifications & Skills

  • Bachelor’s degree and/or paralegal certificate from an accredited institution
  • 5+ years of experience as a corporate or transactional paralegal
  • Strong knowledge of:
    • Corporate governance
    • Business entity structures
    • Regulatory compliance
    • Mergers & acquisitions
    • Corporate finance transactions
  • Experience with legal document management systems, preferably PerfectLaw AIM
  • Advanced organizational, communication, and multitasking skills
  • Ability to take ownership of responsibilities and thrive in a fast-paced legal environment

Responsibilities

  • Prepare and file formation documents for corporations, LLCs, partnerships, and other business entities
  • Draft organizational consents, bylaws, and operating agreements
  • Maintain corporate minute books and entity records
  • Prepare board resolutions, shareholder consents, and governance documentation
  • Ensure compliance with federal, state, and local regulations
  • Support M&A transactions, financings, divestitures, joint ventures, and strategic alliances
  • Conduct due diligence, manage data rooms, and coordinate closing deliverables
  • Prepare transaction and ancillary closing documents
  • Assist with debt and equity financings
  • Maintain capitalization tables and securities-related filings
  • Monitor filing deadlines and prepare Secretary of State submissions
  • Collaborate with attorneys, accountants, underwriters, investment bankers, and clients to facilitate seamless transactions
